Terms of Service

1. Who We Are; Acceptance of Terms

The SpeedList website and service ("Service") is owned and operated by SpeedList, a sole proprietorship based in Texas with its mailing address at 2520 Winrock Blvd, Houston, TX 77057-4387, United States ("SpeedList", "we", "us", "our"). These Terms of Service are an agreement between you and the sole proprietor doing business as SpeedList.

By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you must not use our Service.

2. Eligibility and Your Account

You must be at least 18 years old and able to enter a binding contract to use SpeedList. You are responsible for your account: keep your password to yourself, use one you do not use elsewhere, and tell us at support@speedlist.ai right away if you think someone else has access. Everything done through your account, including by team accounts you invite, is your responsibility. You may not share an account or transfer it to someone else.

3. Description of Service

SpeedList provides AI-powered tools to generate product titles and tags for e-commerce listings, and an integration with Etsy that lets you connect your Etsy shop, sync its listings into SpeedList, and create, edit, publish, and delete listings on Etsy from within SpeedList. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no guarantees regarding the performance, uptime, or results of using the Service.

Each subscription plan includes a monthly limit on AI listing generations (shown on our Pricing page). Generations beyond your plan's limit require an upgrade; unused allowance does not roll over between billing periods.

4. Etsy Integration & Marketplace Actions

When you connect your Etsy shop, you authorize SpeedList (via Etsy's OAuth flow) to act on your shop through the official Etsy API. Actions you trigger in SpeedList (publishing, updating, or deleting listings) are executed against your live Etsy shop and may be visible to buyers immediately. You are solely responsible for reviewing listings before publishing them and for all activity performed through your connected shop.

Your use of Etsy through SpeedList must comply with Etsy's Terms of Use, seller policies, and fees, and our integration operates under Etsy's API Terms of Use. You can revoke SpeedList's access at any time in your Etsy Account Settings (Security → Apps) or by disconnecting the shop inside SpeedList.

The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.

5. Acceptable Use

You agree to use SpeedList only to manage listings for shops you are allowed to manage. You may not upload content you do not have the right to use, or content that is illegal, infringing, deceptive or harmful; use SpeedList to break Etsy's policies or any law; try to reach other users' accounts or data; probe, scan or overload our systems, or scrape our pages or API; reverse engineer the Service; or resell it without our written agreement. We may remove content and suspend or close accounts that break these rules.

6. Limitation of Liability & Force Majeure

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEEDLIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Specifically, SpeedList is not liable for:

• Loss of sales, revenue, or business opportunities.
• Bans, suspensions, or penalties applied to your accounts on third-party marketplaces (e.g., Etsy, eBay, Amazon).
• Any errors, inaccuracies, or hallucinations in the AI-generated content.

Force Majeure: We are not responsible for any failure to perform our obligations due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, strikes, third-party API outages, or internet service disruptions.

7. Accuracy of AI Output

Artificial Intelligence can produce inaccurate or inappropriate content. You acknowledge that you are solely responsible for reviewing, editing, and verifying all AI-generated titles and tags before publishing them to any marketplace. SpeedList does not guarantee that using our output will improve your SEO rankings or sales.

8. User Content & Intellectual Property

You retain all ownership rights to the product images and data you provide to SpeedList. By uploading content, you represent and warrant that you own the rights to the content or have obtained all necessary permissions. SpeedList is not liable for any copyright infringement or intellectual property disputes arising from the images or data you provide.

9. Copyright Complaints

We respect copyright and expect our users to as well. If you believe content on SpeedList infringes your copyright, send a notice to our designated agent with: your contact details; a description of the work you believe is infringed; where the content is on SpeedList; a statement that you believe in good faith the use is not authorized by the owner, its agent or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature.

We remove or disable content that a valid notice points to, tell the user who uploaded it, and close the accounts of repeat infringers. If your content was removed and you believe it should not have been, you may send a counter-notice to the same address with the information section 512(g) of the Digital Millennium Copyright Act requires.

10. Third-Party Services

Our Service relies on third-party integrations (such as the Etsy API, Google Cloud / Firebase, Google Drive, our AI providers, and Stripe). Where you interact with those services through SpeedList, their own terms and privacy policies also apply to you, including Etsy's Terms of Use, Google's Terms of Service, and Stripe's consumer terms. We are not responsible for the availability, terms, or policies of these third parties. Any disruption in their services, including changes to or outages of the Etsy API, may affect your ability to use SpeedList, and we are not liable for such disruptions.

12. Plans, Usage and Top-ups

SpeedList offers a Free plan and paid Starter and Pro plans. Each plan includes a number of AI generations per billing period (a generation is one title-and-tags run for one listing), and a number of Etsy shops that can be connected at the same time; the current numbers are shown on the Pricing and Subscription pages. Unused generations do not carry over to the next period. When a paid plan's generations are used up, generation pauses until the next billing period unless additional generations are bought. Pro accounts may buy one-time top-up packs of generations; a top-up applies to the current billing period only, is billed immediately, and is not refundable once purchased. Changing plan takes effect immediately; on an upgrade the difference for the rest of the period is charged, on a downgrade the new price applies from the next billing date. We may change plan prices and allowances with at least 30 days' notice by email or in the app; continuing to use a paid plan after the change takes effect means you accept it.

13. Free Plan Limits and Fair Use

The Free plan is for trying SpeedList on your own shop. Besides its monthly generation allowance it has limited actions per month: the amount of publishing, syncing, bulk editing, importing and similar activity a Free account may do is capped. Once an account passes the month's limits, those actions are paused until the next month, or until the account moves to a paid plan. We decide the limits and may change them without notice; when an action is paused the app says so, without necessarily listing which limit was reached.

You agree to use SpeedList fairly and as intended. You may not work around plan limits, quotas or restrictions in any way, including through multiple accounts, automated requests, scripts or other tooling against our pages or API, or by exploiting any error or loophole in the Service. If you find a loophole, tell us rather than use it. We may limit, suspend or close accounts that breach this section, and we may remove content created through such use, without refund.

14. Team Accounts

A Pro subscriber (the "owner") may add team accounts by inviting email addresses. Each team account is a separate SpeedList account with its own sign-in, its own workspace and one Etsy shop connection, and draws its AI generations from the owner's Pro allowance and top-ups. The owner is responsible for the team's use of the Service and for the accounts they invite.

Each team account costs a monthly seat fee (currently $10 per account per month) plus applicable taxes, billed to the owner together with the Pro subscription, on the same payment method and the same billing date. A seat is charged from the moment the invitation is accepted and the team account joins; nothing is charged for an invitation that is not accepted. The first month is prorated to the owner's billing date. Removing a team account stops its seat fee from the next billing date; a team account that leaves on its own has the same effect. There are no refunds or credits for part of a month. If the owner's Pro subscription ends, team accounts revert to Free plans of their own and seat fees stop. The owner confirms the exact monthly total before each invite is sent.

15. Disclaimer of Warranties

SpeedList is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted, error-free or secure, that AI output will be accurate, or that using SpeedList will increase your sales or your ranking on Etsy. Some states do not allow some of these disclaimers, so parts of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify and hold harmless SpeedList, its owner and its contractors from any claim, loss or expense, including reasonable attorneys' fees, arising from content you upload or publish, your use of the Service, your breach of these Terms, or your violation of any law or of another person's rights, including Etsy's policies.

17. Termination

You can stop using SpeedList at any time, and have your account deleted by emailing support@speedlist.ai; a paid subscription has to be cancelled first. We may suspend or close your account if you break these Terms, if the law requires it, or if we stop offering the Service; where we can, we will tell you first and give you a chance to export your listings. The sections that by their nature should survive, including the ones on content, liability, indemnification and governing law, continue after termination.

18. Changes to Terms

We may change these Terms. For material changes we will tell you at least 14 days before they take effect, by email or with a notice in the app, and we will update the date at the top of this page. If you keep using SpeedList after a change takes effect, you accept the new Terms. If you do not agree, stop using the Service and delete your account before the change takes effect.

19. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.

20. General

If any part of these Terms is found unenforceable, the rest stays in force. These Terms, the Privacy Policy and the Etsy Integration Disclosure are the whole agreement between you and us about the Service. You may not assign these Terms; we may assign them to a successor of the business. Our not enforcing a term is not a waiver of it. Notices to you may go to the email address on your account.
